TPC Group to be acquired by ENEOS Holdings

TPC Group is set to be acquired by ENEOS Holdings, Inc. in a transaction that will bring the US petrochemical producer’s Houston operations and terminal assets in Port Neches, Texas, and Lake Charles, Louisiana, into the ENEOS Group.

The transaction is expected to strengthen ENEOS’s position in the petrochemical C4 value chain while expanding its operational footprint in the United States. The deal forms part of ENEOS’s strategy to strengthen its base and materials business and restructure its portfolio around growth-oriented markets.

TPC Group’s assets include petrochemical operations in Houston as well as terminal facilities serving its operations in the Gulf Coast region. Under the agreement, ENEOS will acquire the relevant petrochemical and terminal operations as part of the transaction.

For ENEOS, the acquisition provides an opportunity to expand its involvement in the US C4 market, leveraging its existing expertise in crude C4 processing. The company also expects the transaction to support efforts to secure stable sources of feedstock and products in North America as supply-demand dynamics for butadiene and other C4 products evolve, particularly in Asia.

The US Gulf Coast remains a strategically important location for petrochemical investment, supported by access to shale-derived feedstocks, established chemical infrastructure and significant domestic and export markets. ENEOS said the acquisition would provide a platform for further investment in TPC Group’s assets, downstream capabilities and other strategic opportunities in North America.

TPC Group President and Chief Executive Officer Ed Dineen said the agreement represented recognition of the company’s workforce, assets and role in the petrochemical value chain.

“With ENEOS, we will build on our strong foundation, support continued investment in our operations and further strengthen TPC Group’s position for long-term success,” Dineen said.

Operational safety, reliability and environmental performance are expected to remain priorities following the acquisition. TPC Group said there are no planned changes to day-to-day operations, customer commitments or supplier relationships before the transaction closes.

ENEOS has similarly highlighted operational expertise and safe, stable operations as important elements of its C4 business, including its activities involving butadiene. The company said it intends to support the continued development of TPC Group’s US assets following completion of the deal.

The acquisition is subject to customary closing conditions, including regulatory approvals. The companies expect the required regulatory approvals to be obtained in October 2026. Until closing, TPC Group and ENEOS will continue to operate as separate companies.

The transaction follows a period of operational and financial improvement at TPC Group. Ruben Kliksberg and Sean Sauler, co-chief investment officers of Redwood Capital Management, TPC Group’s largest shareholder, said the company had undergone a significant turnaround over the past four years and expressed confidence that ENEOS could continue that progress.
